RV FINANCIAL SERVICES REPRESENTATIVES AGREEMENT THIS AGREEMENT, entered into this day of application, by and between Eboatloans, Inc. and Representative who’s information appears on application of same date. 1. APPOINTMENT Eboatloans, Inc. appoints Representative the right to market Eboatloans, Inc.'s RV Financial Services Program. Representative accepts such appointment and acknowledges: a. A finders fee as agreed with Eboatloans, Inc. b. Representative reserves the right to recruit and train Representatives to sell the RV Financial Services Program and to collect an override. c. Representative agrees to conform to the terms and conditions of this agreement and will faithfully comply with all rules, regulations and policies of Eboatloans, Inc.. 2. DUTIES OF Representative Representative agrees to the following: a. Representative agrees that it shall not use or apply Eboatloans, Inc. marks and logos in any manner, including advertising without first receiving the express written consent of Eboatloans, Inc.. b. All materials provided by Eboatloans, Inc. including computer programs, presentations, brochures and related documents used by Eboatloans, Inc., shall remain the exclusive property of Eboatloans, Inc. and may not be reproduced in any manner without Eboatloans, Inc.'S prior written consent. c. Representative will send Client Application to Eboatloans, Inc. within 24 hours of receipt, and not distribute to other underwriters until it is determined Eboatloans, Inc. can not provide the service required. d. Representative agrees that it will furnish to clients all disclosures and notices which may be required under applicable state guidelines. Representative is responsible for following each State's laws according to its guidelines and will not hold Eboatloans, Inc. liable for any business or state law which may be violated in marketing the RV Services Program and agrees to pay any licensing fees, bonding fees, etc. that may be required by each state. e. Representative will indemnify and hold Eboatloans, Inc. harmless from all loss and expenses including attorney's fees, arising out of any claims or demand by third parties relating to this Agreement for any loss or damages. 3. DUTIES OF Eboatloans, Inc. Eboatloans, Inc.. agrees to the following: a. To provide Representative with credit applications, forms, questions and answers, brochures, training and such other materials as Eboatloans, Inc. may deem necessary and appropriate for the marketing of the RV Services Program. b. All applications submitted to Eboatloans, Inc. shall receive immediate and professional attention, to retrieve a rapid approval or decline. 4. LIMITATION OF Eboatloans, Inc.'S LIABILITY Eboatloans, Inc. shall have no liability to Representative or its clients except for willful misconduct or negligence in the performance of its obligations under this Agreement and in no event will Eboatloans, Inc. be liable for damage in excess of those actually sustained by Representative or its clients. 5. ASSIGNMENT This Agreement is binding upon the Representative's successors and assigns, including any successor resulting from a corporate merger, consolidation or reorganization. 6. GOVERNING LAW This Agreement shall be governed by the laws of the State of Florida. 8. NO AGENCY RELATIONSHIP The parties to this Agreement contend that the Representative shall render the services contemplated as an independent contractor. Nothing herein shall be deemed to create an employment, partnership or agency relationship between the parties. 9. MISCELLANEOUS PROVISION This Agreement, together with any addendum, shall constitute the entire Agreement between the parties. This Agreement may be executed in identical counterparts, if any provision hereof shall be found to be unenforceable provision being deemed by the parties to be separable. 10. BINDING OF PARTIES The signatures to this Agreement represent that they have the authority to enter into this Agreement as such authority is vested in them by the governance of the parties hereto. 11. NOTICES Unless otherwise specified all correspondence from Representative to Eboatloans, Inc. is to be directed to: Eboatloans, Inc. 757 S.E. 17th Street, Suite 349 Ft. Lauderdale, FL 33316 All correspondence to Representative will be directed to address on application. 12. NONDISCLOSURE Representative acknowledges that information and material regarding Eboatloans, Inc. RV Services Program presented or disclosed by Eboatloans, Inc. is considered proprietary and confidential to Eboatloans, Inc. and will be regarded as unique and irreplaceable. Representative agrees not to use any such concepts, forms, presentation, or other trade secrets to enter or assist others in entering a competitive business for profit which would be competitive with Eboatloans, Inc.'S business. Representative shall not make copies of any documents or software in its possession or which come into is possession in the future without prior approval by Eboatloans, Inc. The confidential disclosure obligation of the signatories expressed herein, shall be continued and enforced in accordance with, and governed by the laws of the United States, and the State of Florida. *Do you acknowledge and agree to these terms and conditions?
